May 1, BENGALURU (Reuters) – According to a filing made late on Tuesday, the Godrej family of India has chosen to reorganize its ownership stake in the company so that it operates as two separate companies, Godrej Enterprises and Godrej Industries. The two businesses will keep using the Godrej brand following the implementation of the realignment, which will happen once the necessary regulatory clearances have been secured, it continued. The 75-year-old Jamshyd Godrej will serve as the managing director and chair of Godrej Enterprises Group (GEG), with his niece Nyrika Holkar serving as the executive director. Among other industries in which GEG works are liquid engines, aerospace, aviation, and defense. Prior to this, Jamshyd Godrej held the positions of chairman and managing director at the privately held Godrej & Boyce, which was established in 1897. The 73-year-old Nadir Godrej will take on the role of chairperson of the Godrej Industries Group (GIG), which is run through a number of listed companies. These companies include Godrej Consumer Products (GOCP.NS), Godrej Properties (GODR.NS), Godrej Agrovet (GODE.NS), Astec Lifesciences (ASTE.NS), and Godrej Industries (GODI.NS). Adi Godrej, Nadir’s brother, and their close family will run GIG.
In August 2021, 82-year-old Adi Godrej relinquished his position as chairman of Godrej Industries, transferring leadership to his brother, Nadir Godrej. In August 2026, Pirojsha Godrej, the son of Adi Godrej, would take over as GIG’s chairman, replacing Nadir Godrej. Today, the Godrej family settlement was “locked” in the class and dignity for which the family is renowned. Just as clean as their soaps, with no disputes. Salutations, Knight! Wittily, Harsh Goenka stated in his tweet. Godrej & Boyce has been committed to nation building since its founding in 1897. We can now focus on leveraging our core strengths in high tech engineering and design-led innovation across our strong portfolio of strategic, consumer, and emerging businesses, and further drive our growth aspirations with fewer complications thanks to this forward-looking family agreement, according to a statement from Jamshyd Godrej. According to the statement, both parties are dedicated to preserving and enhancing their common legacy and will keep using the Godrej brand.
With agility and focus, the group will continue to build on its legacy, according to Nadir Godrej
“The third and fourth generations of the Family Branches have diverse interests, and varying perceptions as to, among others, the strategic direction, growth, and governance of the various entities of the Godrej Group, including inter alia the company,” Godrej Industries stated in an exchange filing regarding the reasons behind the settlement. The Family Branches have decided on a structure to manage the different expectations and strategic directions that each Family Branch desires, as well as to maintain mutual respect, goodwill, amity, and harmony. Because of the settlement’s indirect change in Astec’s shareholding, members of Adi Godrej and Nadir Godrej will make an open offer to the company’s shareholders. The settlement also states unequivocally that neither group’s shares in any of the companies may be transferred to rival businesses without the other group’s prior consent.
